This is a remote role, with preference given to Utah residents. AAPC seeks a highly motivated and business-savvy General Counsel to join our team. This position will provide legal support to the Executive Management Team on compliance, risk exposure, governance, corporate matters, litigation, and execution of strategic initiatives. This role will report to the CEO, and be a part of the Executive Management Team, and have full responsibility for AAPC ’s corporate legal function working across departments. Responsibilities/Duties Provides accurate, relevant, and timely counsel on a variety of legal issues actively or potentially influencing the business Represents the company on all legal matters and various other business interest needs Sources, manages, and ensures optimal utilization of external counsel Drafts, reviews, and negotiates various commercial contracts and agreements with employees, clients, partners, vendors, institutions, and governments; these may include MSAs, leases, licenses, purchases, sales, real estate, product warranties, partnerships, settlements, etc. Coordinates and assists on corporate governance matters with Board of Directors, lenders, regulatory bodies, banking entities, etc. Attends Board meetings and assists with minutes and resolutions for the Board of Directors Manages and mitigates potential legal risks by designing, implementing, and enforcing company policies, procedures, and best practices Ensures compliance with all domestic and international laws and regulations that apply to the business and its interests Provides legal counsel on general employment law, mergers and acquisitions and compliance Stays current with changes to legislation, particularly in relation to laws, rules and regulations that directly affect our business and industry Maintains high confidentiality for all sensitive and protected information Skills/Abilities J.D. degree required Licensed and admitted member of the Utah bar in good standing At least 7 years o
